These Terms of Service (“Terms”) govern your access to and use of the websites, applications and services provided by Hanko (“Hanko,” “we,” “us” or “our”) (collectively, the “Services”). By creating an account or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
2. Your account
You are responsible for the accuracy of the information you provide, for safeguarding your credentials and wallet keys, and for all activity under your account. Notify us immediately of any unauthorized use.
3. The Services
Hanko provides tools to create proposals and agreements, issue invoices, run client portals, and accept and reconcile payments in fiat and supported digital assets. We may add, change or discontinue features at any time.
4. Payments, fiat and digital assets
Payments may be processed through third-party fiat processors, banking partners and public blockchain networks. You are responsible for providing correct payment and recipient details. Blockchain transactions are irreversible once confirmed; we cannot reverse, cancel or recover funds sent to an incorrect address or network. Digital assets are volatile and you bear the risk of any change in their value.
5. Fees
Fees for the Services are described on our pricing page. Network (gas) fees and third-party processor fees are separate and your responsibility. We may change our fees on reasonable notice.
6. Acceptable use
You agree not to use the Services to:
- Violate any law, regulation or sanctions program;
- Launder money or finance illegal activity;
- Infringe the rights of others or transmit unlawful content;
- Interfere with, probe or disrupt the security or integrity of the Services.
7. Third-party services and blockchains
The Services interact with third-party providers and decentralized networks that we do not control. Your use of those services may be subject to their own terms, and we are not responsible for their acts, omissions or availability.
8. Intellectual property
The Services, including all software, text, and branding, are owned by Hanko or its licensors and are protected by intellectual property laws. You retain ownership of the content you create; you grant us a limited license to host and process it solely to provide the Services.
9. No professional advice
Hanko is a software tool, not a bank, broker, money transmitter (to the extent prohibited), or provider of legal, tax, accounting or investment advice. You are responsible for your own compliance and for seeking professional advice where appropriate.
10. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Hanko will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or digital assets, arising out of or related to your use of the Services.
12. Indemnification
You agree to indemnify and hold Hanko harmless from claims, losses and expenses arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
13. Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or where required to protect the Services or comply with law. Provisions that by their nature should survive termination will survive.
14. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Hanko is established, without regard to conflict-of-laws rules. Any disputes will be resolved in the courts or arbitral forum specified for that jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use of the Services constitutes acceptance.
